Terms and Conditions

These Terms of Use ("Terms") govern your access to and use of the BOND social commerce platform (the "Platform"), operated by BOND, a Delaware C Corporation ("BOND," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you may not access or use the Platform.

Acceptance of Terms

By creating an account, accessing, or using the BOND Platform, you acknowledge that you have read,understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and BOND.

Definitions

"BOND", "we", "us", or "our": Refers to BOND, a Delaware C Corporation, the operator of the Platform.

 "Platform": Refers to the BOND social commerce platform, including its website, mobile applications, and all related services, features, and content.

"User", "you", or "your": Refers to any individual or entity accessing or using the Platform, including Luxury Sales Professionals and Clients.

"Luxury Sales Professional": Refers to a verified and onboarded sales professional who uses thePlatform to communicate, collaborate, and transact to source luxury products for their Clients.

"Client": Refers to an individual who is a client of a Luxury Sales Professional and for whom luxury products are sourced through the Platform.

"Collaborative Commerce Feature": Refers to BOND’s proprietary technology that allows Luxury Sales Professionals to source products from other third-party luxury professionals, brands, and retailers without sharing Client information.

"Content": Refers to any text, images, graphics, audio, video, or other materials uploaded, posted,or displayed on the Platform by BOND or Users.

Services Offered

BOND provides a social commerce platform designed to connect Luxury Sales Professionals with a trusted global network for sourcing luxury products. Our services include:

 Connection to Luxury Sales Professionals: Facilitating connections between Clients and a curated network of Luxury Sales Professionals from leading luxury houses and independent retailers.

Collaborative Commerce: Enabling Luxury Sales Professionals to source a wide array of luxury products for their VIP Clients through a proprietary collaborative commerce feature, allowing interaction with other third-party luxury professionals, brands, and retailers without compromising Client privacy.

Communication and Collaboration Tools: Providing tools for Luxury Sales Professionals to communicate and collaborate effectively regarding product sourcing and client needs.

Secure Transactions: Offering a secure environment for transactions related to luxury product sourcing.

Access to Exclusive Products: Expanding access for Clients to luxury pieces beyond what is available in any single store, through the extensive network of Luxury Sales Professionals.

User Accounts

Account Registration: To access certain features of the Platform, you must register for an account.You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify BOND immediately of any unauthorized use of your account. BOND cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Eligibility: By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Luxury Sales Professional Verification: Luxury Sales Professionals are subject to a verification and onboarding process by BOND to ensure the integrity and quality of the network. BOND reserves the right to approve or deny any application for a Luxury Sales Professional account at its sole discretion.

User Conduct

You agree not to use the Platform to:

Violate any local, state, national, or international law or regulation.

Infringe upon the rights of others, including intellectual property rights.

Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory,vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

Interfere with or disrupt the Platform or servers or networks connected to the Platform.

Attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems,or networks connected to the Platform, whether through hacking, password mining, or any other means.

Engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform.

Intellectual Property

BOND Content: All content on the Platform, including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of BOND or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this Platform is the exclusive property of BOND and protected by U.S. and international copyright laws.

Trademarks: The BOND name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BOND or its affiliates or licensors. You must not use such marks without the prior written permission of BOND.

User Content: You retain ownership of any Content you submit, post, or display on or through the Platform. By submitting, posting, or displaying Content, you grant BOND a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, adapt, modify, publish, distribute, publicly perform, and publicly display such Content in connection with the operation of the Platform and BOND's business.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and disclose information about you. Please review our Privacy Policy at for more information.

Disclaimers

THE PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BOND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BOND DOES NOT WARRANT THAT

THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. BOND DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOND, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT BOND HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

You agree to indemnify, defend, and hold harmless BOND, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Platform.

Termination

BOND may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion. 

Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the purpose of litigating all such claims or disputes.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by arbitration in accordance with the rules of the American ArbitrationAssociation. The arbitration shall be conducted in Delaware, United States. The award rendered by the arbitrator(s) shall be final and binding upon the parties, and judgment may be entered thereon in any court having jurisdiction thereof.

 

Changes to Terms

BOND reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by BOND on the Platform, constitute the entire agreement between you and BOND regarding the Platform.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and BOND's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
